1. Agreement
These Terms govern engagements between you (“Client”) and Agentic Workforce Company (“AWC,” “we,” “us”). They become binding upon signing a Statement of Work (“SOW”) or paying the first invoice, whichever comes first. If any of these Terms conflict with a signed SOW, the SOW governs for that engagement.
2. Services
AWC provides AI agent deployment and management, SEO operations, content automation, knowledge system and RAG development, technology and systems-integration consulting, and marketing strategy. Services are delivered remotely, with optional on-site work when scoped in the SOW.
3. Pricing
Engagement fees are as outlined in your Statement of Work. Invoices are due within 7 days of issue. If an invoice is 14 days past due, active work will pause until the account is brought current. Late balances accrue interest at 1.5% per month, or the maximum permitted by law, whichever is lower.
4. No Results Guarantee
We commit to the work — the research, the agent build, the automations, the content, the reporting — not to a number. Search rankings, conversions, agent output quality over time, and other downstream metrics depend on variables outside our control. We use industry best practices and disclose significant risks when we see them.
5. Client Responsibilities
Client will provide timely access to the CMS, analytics, ad accounts, project management tools, and other systems necessary to perform the services, along with any credentials, brand assets, SOPs, and subject-matter input we require. Client will review deliverables and provide feedback within the review windows specified in the SOW; approval is deemed given if no feedback is received within those windows.
6. AI Agent Operations
Agents deployed on your behalf operate within defined governance rules and access boundaries agreed in the SOW. We maintain oversight of agent behavior and will promptly address any operational issues. You retain ownership of all business data processed by agents during service delivery. We may use aggregate, de-identified signals to improve agent performance within your engagement.
7. Intellectual Property & Work Product
Upon full payment, Client receives ownership of the deliverables produced specifically for Client under an SOW (content, agent configurations, prompts, playbooks, and similar work product). We retain ownership of our pre-existing frameworks, tools, reference architectures, and internal methodology. We retain the right to reference engagements in portfolio and case-study materials, consistent with the confidentiality obligations below.
8. Confidentiality
Both parties agree to protect non-public information shared during the engagement and to use it only for the purposes of the engagement. These obligations survive termination. A separate NDA is available on request.
9. Termination
Engagements are month-to-month unless the SOW specifies a fixed term. Either party may terminate with 30 days' written notice; work continues through the notice period and fees for that period are payable in full.
10. Liability Cap
To the maximum extent permitted by law, AWC's aggregate liability is limited to the fees paid by Client in the 60 days preceding the claim. AWC is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.
11. Governing Law & Disputes
These Terms are governed by the laws of the United States and the state of California, without regard to conflict-of-laws rules. Any dispute not resolved through good-faith negotiation will be settled by binding arbitration in California.
12. Changes
We may update these Terms from time to time. Material changes take effect for new engagements on the date posted; existing engagements continue under the Terms in force when the SOW was signed unless both parties agree otherwise.
